Welcome to CloudSource Global Inc. (“CloudSource,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your use of our services and website. By using our services, you agree to these Terms.
1. Agreement Term and Renewal The initial term of the agreement is thirty-six (36) months from the effective date. The agreement automatically renews for additional one-year terms unless terminated by either party with at least ninety (90) days’ written notice prior to renewal.
2. Payment Terms Subscription billing begins on the first day of the month following quote acceptance and continues for thirty-six (36) consecutive months. – First Invoice: Issued on the 1st of the month following quote acceptance; due upon receipt. – Subsequent Invoices: Due upon receipt, issued monthly. – Late Payments: A late fee of 4% per month or the maximum allowed by law will apply to overdue payments. – Payment Methods: ACH is preferred. Credit card payments incur a 3% processing fee. Auto-pay is required for contracts under $1,000/month.
3. Service Changes – Additions: Additional services may be added and will co-terminate with the existing agreement. – Subtractions: Reductions are permitted but cannot exceed 10% of the total contract value without approval.
4. Termination – Convenience: Client may terminate with 90 days’ written notice. Early termination incurs payment of the greater of initial or current monthly fees multiplied by the months remaining in the term. – For Cause: Either party may terminate for material breach after 30 days’ written notice and opportunity to cure. If CloudSource terminates for non-payment, early termination fees still apply.
5. Final Obligations Upon termination, final payments are due within 15 days. Client must return all CloudSource-owned equipment within 15 days.
6. Service Commitments – Scheduled Maintenance: 10:00 PM to 6:00 AM EST daily. – Uptime Guarantee: 99% uptime. No financial credits are provided for outages. – Out-of-scope consulting: Billed at $150/hour.
7. Non-Solicitation Client agrees not to hire or solicit CloudSource employees or contractors for 24 months post-termination.
8. Governing Law and Jurisdiction This agreement is governed by the laws of Broward County, Florida. Any disputes shall be resolved in Broward County courts. The prevailing party is entitled to reasonable legal fees.
9. Modifications Amendments to these Terms must be in writing and signed by both parties.
10. Acceptance By accepting a CloudSource quote or using our services, you agree to these Terms of Service.
